Terms of Service

The Provider delivers web development, chatbot, AI agent, design, and related services ("Project") as defined in a written scope of work agreed via email or Telegram, which forms an integral part of this agreement.

2.1. Payment is made in two installments: 50% deposit — due before work begins (work starts only after the deposit is received); the remaining 50% — due upon, or within 3 days of, delivery of the final, watermark-free version of the Project (see Section 4).

2.2. The deposit secures the Provider's allocated time for the Project and is non-refundable if the Client withdraws after work has started for reasons outside the Provider's control (change of plans, loss of interest, no response for 14+ days, etc.).

2.3. If the Project is discontinued due to the Provider's failure to meet the agreed scope, the deposit is refunded minus the value of work already completed and accepted by the Client.

2.4. Non-payment of the final installment within 14 days of delivery entitles the Provider to suspend access and withhold watermark-free files, source code, or credentials.

3.1. Intermediate versions, mockups, demo links, and previews are provided with a visible watermark and/or restricted access (staging domain, limited functionality) to allow progress review without enabling full independent use before full payment.

3.2. The Client may not copy, publish, or deploy interim materials for production use before full payment is received.

4.1. The final, watermark-free version (full source files, credentials, complete functionality) is delivered only after full payment (100%) is received.

4.2. Until full payment is received, all rights to the Project, including source code, design, and Provider-created content, remain with the Provider.

5.1. In the final delivered Project, the Provider reserves the right to include a small, unobtrusive footer credit such as "Built by DATSYO — datsyo.dev" with an active hyperlink to datsyo.dev.

5.2. Removal of this credit is available only by separate agreement and additional fee (typically +15–20% of the Project cost).

5.3. The Client agrees the Provider may showcase the completed Project (screenshots, description, live link) in the Provider's portfolio, unless otherwise agreed in writing (e.g., under an NDA).

6.1. Upon full payment, ownership of the custom code and design created specifically for this Project transfers to the Client, excluding: open-source libraries/frameworks/templates, governed by their own licenses; and the Provider's right to showcase the Project in a portfolio (Section 5.3).

6.2. The Provider warrants, to the best of their knowledge, that delivered materials do not infringe third-party rights.

7.1. Up to 2 rounds of revisions within the originally agreed scope are included at no extra cost. Requests outside the original scope (new sections, structural changes, new features) are billed separately.

7.2. Delivery timelines may shift due to force majeure or Client-side delays (late materials, credentials, or feedback) without Provider liability.

8.1. The Provider provides free bug fixes (not new features) for 14 days after final delivery.

8.2. Ongoing support, hosting, and updates are subject to a separate agreement.

The Provider is not liable for damages caused by third-party services (hosting, APIs, payment processors), internet outages, or misuse of the Project by the Client after delivery. To the maximum extent permitted by applicable law, the Provider's total liability is limited to the amount paid for the Project.

Materials, credentials, and information provided by the Client for the Project are used solely for the Project's purposes and are not shared with third parties without consent, except as required by applicable law.

These Terms are governed by the laws of Ukraine, where the Provider is based and registered as a sole proprietor. Where the Client is a consumer residing in a jurisdiction with mandatory local consumer protection laws (e.g., EU, UK, US state law), those mandatory protections apply to the extent required by such law, notwithstanding the choice of governing law above. Disputes are resolved by good-faith negotiation first; failing that, through the courts of Ukraine, unless mandatory consumer law requires otherwise.
